Platform Terms of Service
Prospective applicability: This version is offered to new provider accounts registering after its publication. It does not replace terms governing an existing provider merely because that provider continues to use WellOps or views this page. Existing providers retain their previously applicable commitments unless changed through the notice and amendment process applicable to them. We do not infer historical assent from an account creation date or a missing acceptance record.
A separately signed provider agreement remains separate from these registration Terms. Its precedence and amendment requirements continue to apply; publishing this page does not amend or supersede it.
1. About WellOps
WellOps is owned and operated by WellOps, LLC, an Arizona limited liability company (“WellOps, LLC,” “we,” “us,” or “the Platform”). WellOps is the brand name under which WellOps, LLC operates software for independent wellness businesses (“Providers”) to manage their own corporate-client relationships, inquiries, proposals, service agreements, events, staffing, participant bookings, communications, and payments. Provider-branded workflows support on-site, virtual, and hybrid services. Providers deliver the wellness services and remain responsible for their client relationships.
WellOps is a technology platform only. WellOps provides software, marketing tools, booking workflows, and operational infrastructure. WellOps does not provide massage therapy or wellness services directly. WellOps is not a wellness service provider, insurer, employer, staffing agency, or professional licensing authority.
WellOps may be available to Providers and clients in the United States, subject to Provider compliance with applicable state and local requirements. For new registrations presented with and accepting this version, these Terms of Service (“Terms”) apply. Existing users are not deemed to accept this revision through continued use. If you do not agree, do not register under this version.
2. Account Registration
To access the Platform, Providers must register an account and be approved by WellOps. You represent that all information you provide is accurate and that you are authorized to bind your business to these Terms.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Provider accounts support multiple team members with role-based permissions (Owner, Admin, Staff, and Viewer roles). The organization is responsible for controlling who it invites to its account, the roles it assigns, and all activity by its authorized users. A user may belong to more than one organization; each organization’s data remains separate.
3. Fees and Billing
WellOps offers two standard ways to pay for the Platform:
- Pay As You Go — $0 monthly subscription. WellOps charges a per-event platform fee of $49 when the accepted quote total is under $1,000 and $99 when it is $1,000 or more. The fee is triggered by the accepted-event billing condition: it is charged when a client accepts a quote and the Provider confirms a quote-linked event in WellOps, including first publication of a draft event created from an accepted quote. Quote acceptance alone does not trigger a fee. Eligible waivers or referral credits may reduce or cover the card charge; if an owed fee cannot be collected then, it remains due and may be collected later.
- Monthly subscription plans — Professional ($99/month, designed for approximately 10 accepted events per billing cycle), Growth ($299/month, approximately 30), Scale ($599/month, approximately 75), and Enterprise (custom pricing). The stated event levels are soft usage guidelines, not hard limits. Exceeding a plan’s guideline does not currently result in overage fees, per-event fees, automatic plan upgrades, or blocked events. WellOps may discuss a plan change with customers whose sustained usage significantly exceeds their plan’s guideline.
Custom and legacy pricing. Some customers operate under Founding Provider, grandfathered, negotiated, Enterprise, concierge/onboarding, or other individually agreed pricing arrangements. Where a customer has an individually executed agreement or written arrangement with WellOps, that agreement’s pricing and commercial terms supersede the standard pricing described in these Terms to the extent they conflict.
Payment processing. All subscription billing and platform fees are processed by our third-party payment processor, Stripe. By subscribing or maintaining a payment method on file, you authorize WellOps to charge recurring subscription fees and applicable per-event platform fees to that payment method. WellOps does not store full payment card numbers — card details are handled and stored by Stripe. If a payment fails, Stripe may retry the charge, and WellOps may contact you to update your payment method; outstanding fees remain due.
No long-term contracts; cancellation. Standard subscription plans have no long-term commitment and may be cancelled at any time from the billing section of your dashboard. Cancellation takes effect at the end of the current paid billing period; your plan remains active, and no further renewal is charged, through that date. Cancellation alone does not issue a refund for the current period. Upgrades take effect when processed and may create prorated charges or credits through Stripe; downgrades take effect at the next renewal. After a cancelled subscription ends, the account transitions to Pay As You Go, and subsequently confirmed quote-linked events may incur the per-event platform fee. Contact WellOps about billing errors or refund requests. Individually executed agreements may provide different cancellation terms.
Per-event platform fees are non-refundable except in cases of documented technical error on our part. Providers are responsible for ensuring their quote amounts account for applicable fees. Providers set their own service fees and client cancellation, rescheduling, and refund terms; payments made through supported checkout are processed through Stripe. WellOps does not employ or directly control Providers.
4. Provider Obligations
Providers using WellOps agree to:
- Maintain active general liability insurance for every event serviced through the Platform. WellOps may provide access to third-party insurance options but is not an insurer, broker, agent, or advisor.
- Hold and maintain all licenses, permits, registrations, certifications, and approvals required to provide services in every jurisdiction where they operate. Providers are solely responsible for verifying and maintaining applicable licensing requirements.
- Comply with all applicable federal, state, county, and city laws, including massage therapy licensing, business registration, tax, labor, privacy, and health and safety rules in each jurisdiction where they provide services.
- Satisfy any client-specific requirements, including certificates of insurance, additional insured requests, background checks, site rules, and professional conduct expectations.
- Fulfill confirmed bookings or provide reasonable advance notice of cancellation.
5. Provider Independence
Providers are independent businesses, not employees, agents, partners, or representatives of WellOps. WellOps does not supervise, direct, or control the manner in which Providers perform services. WellOps makes no representations about the quality, safety, legality, or suitability of any Provider or their services.
Providers retain their client relationships, including clients who find them through an optional directory listing. Providers may work directly with clients and collect their service fees directly; applicable WellOps platform fees under their plan or separately agreed arrangement remain due.
6. No Guarantee of Bookings or Income
WellOps does not guarantee leads, bookings, revenue, client acceptance, or any specific outcome for Providers. Access to the Platform does not constitute a commitment of any volume of business.
7. Prohibited Uses
You may not use the Platform to:
- Provide false or misleading information about your business, credentials, licenses, or services.
- Fail to pay applicable WellOps platform fees under your plan or separately agreed arrangement.
- Upload content that is unlawful, defamatory, or infringes third-party intellectual property.
- Attempt to reverse-engineer, scrape, or otherwise compromise the Platform.
- Use the Platform for any purpose other than corporate wellness bookings.
8. Intellectual Property
WellOps retains all rights to the Platform, including its software, design, trademarks, and branding. Providers grant WellOps a limited license to use their business name and logo solely for displaying their branded booking page on the Platform.
9. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WellOps does not warrant that the Platform will be error-free, uninterrupted, or fit for any particular purpose. We do not warrant the quality of any wellness services provided by Providers.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WellOps’ total liability to any User for any claim arising out of these Terms or the Platform shall not exceed the greater of (a) $100 or (b) the total platform fees paid by you in the 3 months preceding the claim.
WellOps is not liable for any indirect, incidental, punitive, or consequential damages, including lost profits or data, arising from your use of the Platform.
11. Suspension and Termination
WellOps may suspend or terminate any account at any time, with or without prior notice, for:
- Violation of these Terms or the Provider Agreement.
- Insurance documentation that appears invalid, expired, incomplete, or fraudulent.
- Licensing or credential documentation that appears invalid or cannot be verified.
- Failure to satisfy applicable legal or compliance requirements.
- Any conduct that WellOps reasonably determines poses a risk to clients, employees, or the Platform.
You may close your account at any time by contacting support. Outstanding platform fees remain due upon termination.
12. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Maricopa County, Arizona.
13. Changes to These Terms
We may update these Terms from time to time. Material changes affecting existing users require the notice and amendment process applicable to their governing terms and any separately signed agreement. Publication of a revision is not itself notice, contractual effectiveness, or evidence of acceptance; this revision does not treat continued use as acceptance by existing providers.
